1. Acceptance of Terms

The Skolte website (“the Site”) is operated by Skolte Solutions Private Limited, a company incorporated in India (“Skolte”, “we”, “us”). By accessing or using the Site, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Site. These Terms apply to all visitors, users, and others who access or use the Site.

If you are accessing the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and “you” shall refer to that entity.

2. Description of Services

Skolte is a business-to-business software services company that provides enterprise resource planning (ERP) implementation, industry-specific software extensions, business analytics, data migration, and accounting outsourcing services. The Site provides information about our service offerings, company background, and ways to contact us.

The information published on this Site is provided for general informational purposes only and does not constitute a binding offer. The specific scope, deliverables, timelines, and fees for any engagement with Skolte will be governed by a separate written agreement executed between the parties.

All content on the Site — including but not limited to text, graphics, logos, icons, images, software, and the design and arrangement thereof — is the property of Skolte or its licensors and is protected by applicable intellectual property laws.

Trademarks, service marks, and trade names displayed on the Site are the registered or unregistered marks of Skolte or their respective owners. Nothing on the Site grants, by implication or otherwise, any licence or right to use any such marks.

When using the Site, you agree not to:

• Use the Site for any purpose that is unlawful or prohibited by these Terms.
• Attempt to gain unauthorised access to any part of the Site, its servers, or any systems connected to the Site.
• Introduce viruses, malware, or other harmful material to the Site.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You access third-party sites entirely at your own risk.

7. Disclaimer of Warranties

The Site and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Skolte disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. Information on the Site may contain technical inaccuracies or typographical errors, and we reserve the right to make corrections at any time without notice.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Skolte and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Site.

In no event shall Skolte’s total aggregate liability arising out of or relating to these Terms or your use of the Site exceed the amount of one hundred US dollars (USD 100). This limitation applies regardless of the legal theory on which the claim is based.

9. Indemnity

You agree to indemnify and hold harmless Skolte and its directors, employees, partners, and affiliates from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your use of the Site, your breach of these Terms, or your infringement of any law or third-party right.

10. Termination and Suspension

We may suspend, restrict, or withdraw access to the Site, in whole or in part, at any time and without notice. This includes cases where we believe your use breaches these Terms or threatens the security, availability, or integrity of the Site.

Provisions that by their nature should survive — including intellectual property, disclaimers, limitation of liability, indemnity, and governing law — remain in force after any suspension or termination.

11. Force Majeure

We are not liable for any failure or delay in making the Site available where the cause is beyond our reasonable control. This includes hosting or network failures, power outages, acts of government, industrial action, and natural events.

12. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or transfer of our business or assets.

13. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them or your use of the Site, are governed by the applicable federal and local laws of the United Arab Emirates, without regard to conflict-of-law principles.

You and Skolte agree to submit to the exclusive jurisdiction of the courts of the United Arab Emirates for the resolution of any such dispute.

14. Amendments

We reserve the right to modify these Terms at any time at our sole discretion. When we make changes, we will update the “Last updated” date at the top of this page. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of such changes.

We encourage you to review these Terms periodically. If you do not agree with the modified Terms, you should discontinue your use of the Site.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy, form the entire agreement between you and Skolte in relation to your use of the Site, and replace any earlier understanding on that subject. Where you have signed a separate written agreement with us for services, that agreement governs the engagement and prevails over these Terms to the extent of any conflict.
